Please read these Terms of Service carefully before using LeadStudio by creativo™'s services. By engaging with us — whether through our website, a signed proposal, or by receiving deliverables — you agree to be bound by these terms.

About LeadStudio by creativo™
LeadStudio by creativo™ is a lead generation consultancy and services provider registered in Singapore. We help businesses identify, attract, and qualify prospective customers through outbound strategy, data-driven campaigns, and sales enablement.
These Terms of Service govern the relationship between LeadStudio by creativo™ ("we," "us," or "LeadStudio by creativo™") and any individual or business entity ("Client" or "you") that engages our services.
Acceptance of Terms
By signing a service proposal, making a payment, accessing our digital platforms, or otherwise receiving services from LeadStudio by creativo™, you confirm that:

You have read and understood these Terms of Service;

You have the authority to bind yourself or your organisation to these terms; and

You agree to comply with all applicable laws and regulations in connection with our services.
If you do not agree to these terms, please do not proceed with engaging our services.
Services Provided
LeadStudio by creativo™ provides a range of lead generation and business development services, which may include but are not limited to:

Outbound Lead Generation — cold email campaigns, LinkedIn outreach, and multi-channel prospecting;

Inbound Lead Strategy — content strategy, lead magnet development, and funnel optimisation;

Lead Data & Lists — sourcing, verifying, and delivering targeted prospect lists;

Sales Consulting — strategy sessions, offer crafting, and sales process design;

Social Media Content — platform-specific content creation for brand authority and lead attraction;
-
Campaign Management — end-to-end execution and reporting of lead generation campaigns.
The specific scope, deliverables, timelines, and pricing for any engagement will be set out in a written Service Agreement or Proposal issued by LeadStudio by creativo™ and accepted by the Client.
Client Obligations
To enable us to deliver services effectively, you agree to:

Provide accurate, complete, and up-to-date information about your business, target audience, and campaign requirements;

Respond to requests for feedback, approvals, or materials within the timeframes specified in your Service Agreement;

Ensure all materials provided to LeadStudio by creativo™ (e.g. brand assets, product descriptions, existing data) are lawfully obtained and do not infringe third-party rights;

Comply with all applicable laws and regulations when using leads and data provided by LeadStudio by creativo™, including anti-spam laws (e.g. Singapore's Spam Control Act), data protection laws, and consumer protection legislation;

Not use our services for any unlawful, deceptive, or misleading purposes.
Delays caused by the Client's failure to fulfil these obligations may affect delivery timelines and do not entitle the Client to refunds or credits.
Fees, Payment & Pricing Models
LeadStudio by creativo™ operates across multiple pricing models depending on the engagement type:

Cost-Per-Lead (CPL) — a fixed fee per qualified lead delivered, as defined in the Service Agreement;

Monthly Retainer — a recurring fee for ongoing campaign management and consultancy;
-
Project-Based — a one-time fee for defined project deliverables;
-
Revenue Share / Hybrid — where agreed in writing, a share of revenue generated from leads provided.
Payment Terms: Unless otherwise specified in your Service Agreement, invoices are due within 14 days of the invoice date. We accept payment via bank transfer, PayNow, or other methods as stated on the invoice.
Late Payments: Overdue invoices may attract a late fee of 1.5% per month on the outstanding balance. LeadStudio by creativo™ reserves the right to suspend services for accounts overdue by more than 14 days.
Taxes: All fees are exclusive of applicable taxes. Clients are responsible for any GST or other taxes arising from their jurisdiction.
Refunds: Fees paid are non-refundable unless otherwise stated in your Service Agreement or required by law.
Intellectual Property
LeadStudio by creativo™'s IP: All methodologies, frameworks, templates, tools, processes, and proprietary systems developed by LeadStudio by creativo™ remain the exclusive intellectual property of LeadStudio by creativo™, regardless of whether they are used in the delivery of your project.
Client IP: All materials, brand assets, and data you provide to LeadStudio by creativo™ remain your property. You grant LeadStudio by creativo™ a limited licence to use these materials solely for the purpose of delivering the agreed services.
Deliverables: Upon full payment, LeadStudio by creativo™ grants you ownership of the agreed final deliverables (e.g. lead lists, copy, reports). Custom campaign assets created for your project are yours upon settlement of all outstanding fees. Underlying tools, templates, and frameworks remain with LeadStudio by creativo™.
Case Studies & Portfolio: LeadStudio by creativo™ reserves the right to reference your engagement (including results achieved) in anonymised case studies and marketing materials unless you have explicitly requested otherwise in writing.
Confidentiality
Both parties agree to treat as confidential any non-public information disclosed in the course of the engagement, including business strategies, pricing, client lists, campaign data, and proprietary processes.
Confidential information may only be disclosed to employees or contractors who need it to fulfil the services, and must not be shared with third parties without prior written consent.
This obligation survives termination of the engagement for a period of two (2) years.
Confidentiality obligations do not apply to information that: (a) is or becomes publicly available through no fault of the receiving party; (b) is independently developed; or (c) is required to be disclosed by law or regulatory authority.
Data and Lead Quality
LeadStudio by creativo™ applies quality control processes to all lead data delivered, including verification and validation against agreed criteria. However, we make no guarantee that every lead will convert or result in a sale, as conversion outcomes depend on factors outside our control including your sales process, offer, and market conditions.
Lead Qualification Criteria: Qualified lead definitions will be agreed in writing before campaign commencement. Leads that meet the agreed criteria are considered delivered and billable.
Disputes: If you believe leads do not meet the agreed qualification criteria, you must raise a written dispute within 5 business days of delivery. We will review and, where valid, replace non-qualifying leads or provide a credit at our discretion.
Data Compliance: All prospect data provided by LeadStudio by creativo™ is sourced from publicly available or legitimately acquired sources. Clients are solely responsible for how they use, store, and process this data in accordance with applicable laws, including the Singapore Personal Data Protection Act 2012 (PDPA).
Limitation of Liability
To the maximum extent permitted by applicable law, LeadStudio by creativo™'s total liability to you for any claim arising from or related to these Terms or the services provided shall not exceed the total fees paid by you to LeadStudio by creativo™ in the three (3) months preceding the event giving rise to the claim.
LeadStudio by creativo™ shall not be liable for:

Loss of revenue, profit, business, or anticipated savings;

Loss of data or business interruption;
-
Indirect, incidental, special, or consequential damages;
-
Campaign outcomes, conversion rates, or sales results.
These limitations apply even if LeadStudio by creativo™ has been advised of the possibility of such damages.
Indemnification
You agree to indemnify, defend, and hold harmless LeadStudio by creativo™ and its directors, employees, and contractors from any claims, damages, losses, or expenses (including reasonable legal fees) arising from:

Your breach of these Terms;

Your misuse of leads or data provided by LeadStudio by creativo™;

Your violation of any applicable law or third-party right; or
-
False or misleading information you provided to LeadStudio by creativo™.
Term and Termination
These Terms apply for the duration of your engagement with LeadStudio by creativo™, as set out in your Service Agreement.
Termination by Client: You may terminate a service engagement by giving 30 days' written notice. Fees for work completed or in progress up to the termination date remain payable.
Termination by LeadStudio by creativo™: We may terminate the engagement immediately if you: breach any material term of these Terms; fail to make payment; engage in conduct that is unlawful, unethical, or reputationally damaging to LeadStudio by creativo™; or become insolvent or subject to administration.
Effect of Termination: Upon termination, all outstanding fees become immediately due and payable. Sections on IP, confidentiality, limitation of liability, and governing law survive termination.
Dispute Resolution
In the event of any dispute arising out of or in connection with these Terms or any service engagement, the parties agree to first attempt to resolve the matter through good-faith negotiation within 14 days of written notice of the dispute.
If the dispute cannot be resolved through negotiation, the parties agree to refer the matter to mediation administered by the Singapore Mediation Centre before commencing any legal proceedings.
Nothing in this clause prevents either party from seeking urgent injunctive or interim relief from a court.
Governing Law
These Terms shall be governed by and construed in accordance with the laws of the Republic of Singapore. Any disputes not resolved through mediation shall be subject to the exclusive jurisdiction of the courts of Singapore.
Amendments
LeadStudio by creativo™ reserves the right to update these Terms of Service from time to time. We will notify existing clients of material changes via email or through our platform with at least 14 days' notice before changes take effect.
Your continued use of our services after the effective date of any updated Terms constitutes acceptance of those changes.
